Know directories - introduction terms and conditions

These terms and conditions set out the principals that will apply between us, Kingston Communications (Hull) plc and you each and every time you introduce an advertiser to us for the provision of our advertising services in the Know directory.

1 Introducer obligations

1.1 The Advertiser must:
(i) Complete the Introduction Card and provide your details during the application process for services; and
(ii) Be in receipt of services from us.

1.2 We will, within one month of the closure of the edition of the Know directory for each Know directory area, in which the Advertiser requests services from us, pay an incentive of £10 to you.

1.3 We will make payment of the incentive to you either by credit to your account, if you receive services from us and your account is in debt to us at the time payment of the incentive is made. Otherwise, we will make payment to you by cheque.

2 Restrictions on payment of the incentive

2.1 We shall only be obliged to pay an incentive to you for the first ten (10) introductions to us, up to a maximum of £100, subject to the provisions of these terms.

2.2 If we do not supply services to the Advertiser, for any reason whatsoever, we will not be liable to pay the incentive to you.

2.3 If the Advertiser does not provide your details to us (whether correctly or at all) during the application process, we will not be liable to pay the incentive to you. We will not be able to accept your name from the Advertiser at any time following the completion of the application process.

2.4 If we pay any incentive to you erroneously, you agree that you will notify us of such error and will repay the incentive to us or that we may set-off such amounts against any incentive owed to you.

2.5 If the Advertiser does not make payment to us for the provision of the services, for any reason, we shall be entitled to claim back the incentive we have paid to you.

2.6 We shall be entitled to withhold payment of the incentive to you for any reason whatsoever, in our reasonable discretion.

2.7 We will not be bound to pay an incentive to you if:
(i) you have previously defaulted on the payment of any sums of money owing to us for services we have provided to you; or
(ii)we reasonably suspect you or the Advertiser of any illegal, fraudulent or other activity, as the payment of the incentive to you may cause damage to our reputation.

3 Data protection and tax

3.1 In order for you to participate in the offer, you must allow us to collect and process your personal data. We agree that we will only use your personal data, that we collect during the offer, for the purpose of linking you with the Advertiser so that we can pay the incentive to you. By providing the Introduction Cards to the Advertiser with your name and other personal data on it, you agree that we may collect and process your personal data for this purpose. Further we agree that any processing of your personal data shall be in accordance with our obligations under the Data Protection Act 1998. If at any time, you do not wish us to process your personal data in this manner, you should not distribute the Introduction Cards.

3.2 You acknowledge that the payment of the incentive by us to you may be liable to income or other taxes. You shall be entirely responsible for the payment of such taxes. Further, you shall indemnify us against all liability resulting from your failure to pay taxes in accordance with this clause.

4 General provisions

4.1 Subject to any liability which cannot be excluded or limited by law, our total aggregate liability to you arising out of or in connection with these Terms shall be limited to the aggregate amount of any incentives due to you but not paid.

4.2 The failure by us to insist on the performance of any of the provisions in these Terms shall not be construed as a waiver of our rights to future performance of such provisions.

4.3 These Terms are governed by the laws of England and both parties submit to the exclusive jurisdiction of the English Courts.
